These terms and conditions apply when purchasing a package from Sprout:

General Usage

With the purchase of any Sprout package, you are entitled to unlimited usage of the site for yourself or client work. Upon request Sprout will provide design files — making it easier to meet the needs of your personal site. Our sites are developed with this usage in mind. Sprout retains the right to change the terms and conditions and licensing of this site and our packages at any time.

Guarantee

Sprout sites are guaranteed to function correctly upon proper installation, activation and options configuration of the theme within the latest WordPress platform. We can not and do not guarantee compatibility with 3rd party plugins. If for some reason the theme is not working properly, report the issue to our support team, and we will do our best to resolve the problem in a timely manner.

Subscription

Sprout employs an monthly subscription fee for ongoing site support, updates, maintenance and account access. The subscription renews monthly from the date of purchase at the same rate as the purchased package. The subscription may be canceled at any time. Sprout will keep a back of your site for 30 days. If you wish to relaunch your site there will be $150 charge.

Support

Support is provided for any package purchased from Sprout for a year after the purchase date, or for as long as the monthly subscription is renewed. Support includes the rectifying of issues arising from packaged features, bug fixes and basic usage questions. We do not provide support for the use or issues arising from the use of 3^rd party plugins; troubleshooting issues occurring in versions of Internet Explorer older than version 8; WordPress itself.

Note: Support is offered Monday through Friday, 9AM to 4PM CST. Support requests are answered in order received.

Refunds

We do not offer refunds. All sales are final. Such is the nature of purchasing and downloading a digital product. If there is an issue regarding a package, we will address the problem. Unfortunately, there is no effective way for us to both combat fraud and issue refunds. We will be happy to answer questions regarding our themes before your purchase to insure it will meet your needs. Thank you for your understanding.

Licensing

The CSS, XHTML, PHP, design and any other elements of the packages are released under the GPL license. They and are in total compliance to standards of that license as well as with WordPress. Our themes are not compatible with the wordpress.com blogging community. They are developed for individual installations of the WordPress platform. Contact us separately for information regarding Extended licenses for a web service such as WPMU or offering our packages as part of a software package.

Site Compatibility

Currently our sites are designed to function properly with WordPress 3.0 and higher. It is our job to make sure the themes are up to date with the latest versions of WordPress. We cannot guarantee they will work properly on older installations of WordPress. We cannot guarantee the compatibility of our themes with all third party software and plugins. If a conflict does arise, we will do our best resolve the situation. Moreover, we cannot guarantee the themes will function correctly after modification to the code, or a failure to install the theme or WordPress properly.

Affiliates

Affiliates will be paid each month for the prior month of sales. You must have a verified PayPal account and accumulate at least 3 package sales to receive affiliate payment from Sprout.

We highly encourage and reward affiliates that promote Sprout, but do not support dishonest sales tactics. Unacceptable tactics which will result in nonpayment and possible termination include, but are not limited to:

Advertising coupon codes – including temporary promotional codes, expired codes, inaccurate discounts, or inaccurate payment details of any kind. Any coupon promotions are created for the benefit of our customers, not our affiliates.
Misrepresenting or inaccurately describing Sprout services, products, brand, or trademark.
Misleading referred users in a manner which implies the inclusion of any product, service, or experience beyond that expressly depicted on organicthemes.com.
Affiliates that sign up for the program and refer themselves for a discount on our products
Failure to have your PayPal email address within our records in the form of an affiliate application or email notification, as we are likely to suspect fraud in this scenario

Maintenance

The general maintenance of your site is covered in your monthly fee. We strive to have changes done to the site with-in 3 business days. Unless there is emergency change that needs to take place, then we make sure it is done end of night 12:00 pm Central Time. Changes other than general content and html code is reviewed an given an estimation on when the change should be completed. ie third party programs getting plugged into the site, global design re-hauls and custom coding.

Contracts

We don’t like contracts so why should we make you have one. Your site is on a monthly base and you can choose to shut it down at any moment.

Transfer Fee

If with in the first year of you websites live you choice to transfer your site out of the sprout network you may be subject to a transfer fee of up to $780. After the site has been on the sprout network for 1 year the transfer fee may become waved.

Monthly/Yearly Payment

Your first payment will be due at time of kick off. The date of process will become your monthly/yearly bill cycle. If you payment is not able to pull from your account we will notify you and you will have a week issue the monthly payment. If monthly payment is not made the site will be shut down. After site is shutdown and you wish to re-instate the site you may be subject to a $150 fee.

Monthly/Yearly payment will not increase as long as the site is active on the sprout network. If site is deactivated and then reactivated it maybe subject to an increase to current market rates. All new sites add to the sprout network will be subject to pay current market price.

Design and Content

All content and design elements that are used in creation of site are property of the client and not Sprout. At any moment client may request design files for other marketing uses. In case of the event that sprout leaves the market due any reason you will be provided with all required files to import site into a server providing php. Files will be provided within 3 business days of notification.
